3. User Responsibilities

For Companies

As a company using our services, you agree to:

• Provide accurate and truthful information about your company and hiring needs
• Treat all candidates with respect and professionalism
• Comply with all applicable employment laws and regulations
• Not discriminate against candidates based on protected characteristics
• Pay any agreed-upon fees for our services in a timely manner

For Candidates

As a candidate in our talent network, you agree to:

• Provide accurate and truthful information in your profile and resume
• Keep your information current and up-to-date
• Respond professionally to any opportunities we present
• Notify us of any changes to your employment status
• Not misrepresent your qualifications, experience, or skills

4. Account Registration

Some features of our services may require you to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We reserve the right to terminate accounts that violate these terms or engage in fraudulent activity.

5. Intellectual Property

All content on the Tureton website, including text, graphics, logos, images, and software, is the property of Tureton or its content suppliers and is protected by intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorization
• Reverse engineer or attempt to extract source code from our software
• Use automated tools to scrape or collect data from our website

6. Fees and Payment

Our fee structure for recruitment and consulting services will be outlined in separate agreements with client companies. Standard terms include:

• Fees are typically based on a percentage of the placed candidate's first-year compensation
• Payment terms are net 30 days from invoice date unless otherwise agreed
• Late payments may incur additional charges
• Refund policies for replacement guarantees are specified in individual contracts

Candidates are never charged fees for using our talent network or job placement services.

7. Limitation of Liability

To the maximum extent permitted by law, Tureton shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use our services
• Actions or conduct of third parties, including employers or candidates

Our total liability for any claim arising from these terms or our services shall not exceed the fees paid by you to Tureton in the 12 months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

• That our services will meet your specific requirements
• That candidates will be hired or perform satisfactorily
• That companies will hire candidates from our network
• That our website will be uninterrupted or error-free

9. Indemnification

You agree to indemnify and hold harmless Tureton, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Any content you submit to our platform

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes:

• Candidate personal information and resumes
• Company hiring strategies and compensation data
• Business processes and methodologies
• Terms of specific agreements

11. Non-Circumvention

For a period of 12 months after introduction, client companies agree not to directly hire or engage candidates presented by Tureton without going through our placement process. Violations may result in full placement fees becoming due.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Tureton operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
